Item 5.02                 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 9, 2017, Anthony J. Vinciquerra resigned from the Board of Pandora Media, Inc. (the “Company”) effective immediately. The resignation of Mr. Vinciquerra did not result from any disagreement with the Company, the Company’s management or the Board.
