Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 31, 2017, Frank P. Sabatucci resigned as a Class I director of First Priority Financial Corp. Mr. Sabatucci’s resignation was due to personal reasons and did not result from any disagreement with the company on any matter relating to its operations, policies or practices.
