Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

(c)     On June 1, 2017, the Board of Directors of ICF International, Inc. (the “Company”) amended section 2.2 of its bylaws to implement a majority voting standards in uncontested director elections. The Amended and Restated Bylaws are effective as of June 1, 2017.

 

The description above of the amendments to the Company’s bylaws does not purport to be complete, and is qualified in its entirety by reference to the full text of section 2.2 of the bylaws as amended, set forth in Exhibit 3.1 to this Form 8-K and incorporated in this Item by reference.

 

The Amended and Restated Bylaws of ICF International, Inc. are attached hereto as Exhibit 3.1.
