Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 30, 2017, directors Kevin M. Sheehan and Paul S. Williams informed Bob Evans Farms, Inc. (the “Company”) that they do not intend to stand for election to the Company’s Board of Directors when their terms expire as of the Company’s 2017 annual meeting of stockholders. Messrs. Sheehan and Williams will continue to serve as directors until that time. The decision by each of Mr. Sheehan and Mr. Williams not to stand for re-election at the end of his current term is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
