Item 8.01Other Events.

 

On May 25, 2017, American Financial Group, Inc. (the “Registrant”) entered into a Purchase Agreement (the “Purchase Agreement”) by and among the Registrant and J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, and Wells Fargo Securities, LLC, as representatives of the several underwriters, relating to the issuance and sale of $350 million aggregate principal amount of the Registrant’s 4.500% Senior Notes due 2047 (the “Notes”).

 

For a description of the Notes, see the materials set forth in the section captioned “Description of Debt Securities” in the Registration Statement described below and the materials set forth in the section captioned “Description of Notes” in the Prospectus Supplement of the Registrant dated May 25, 2017 and filed with the Commission on May 26, 2017 pursuant to Rule 424(b) under the Act, which is incorporated in this Current Report on Form 8-K by reference.

 

The Indenture is incorporated by reference as Exhibit 4.1, the Eighth Supplemental Indenture is filed as Exhibit 4.2 and a specimen copy of the Notes is filed as Exhibit 4.3 in this Current Report on Form 8-K.
