Instructure, Inc. (“Instructure”) held its 2017 Annual Meeting of Stockholders on May 25, 2017 (the “Annual Meeting”). Of the 28,867,445 shares of Instructure’s common stock outstanding as of the record date of March 27, 2017, 27,796,038 shares were represented at the Annual Meeting, either in person or by proxy, constituting 96.29% of the outstanding shares of common stock. The matters voted on at the Annual Meeting and the votes cast with respect to each such matter are set forth below:
