Item 8.01.   Other Events
 

Horizon Bank, N.A. (the “Bank”), a wholly-owned subsidiary of Horizon Bancorp (“Horizon”), has filed an application with the Indiana Department of Financial Institutions (“DFI”) to convert from a national bank to an Indiana state-chartered bank.  The DFI recently completed its pre-conversion examination of the Bank.  Horizon and the Bank currently anticipate that approval of the conversion may be received from the DFI before the end of the second calendar quarter of 2017.
