Item 2.02 Results of Operations and Financial Condition.

On May 25, 2017, DXC Technology Company (the “Company”) issued a press release reporting the preliminary financial results of Computer Sciences Corporation (“CSC”), a wholly owned subsidiary of the Company, for the fourth quarter ended March 31, 2017. Because CSC is deemed the acquiror for accounting purposes under U.S. generally accepted accounting principles for the combination of CSC and the Enterprise Services business of Hewlett Packard Enterprise Company, CSC is considered the Company’s predecessor, and the historical financial statements of CSC prior to April 1, 2017 will be reflected in the Company’s future quarterly and annual reports as the Company’s financial statements. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference and made a part hereof.
