Item 7.01Regulation FD Disclosure.

On May 23, 2017, B. Riley Financial, Inc. (the “Company”) issued a press release announcing the commencement of its public offering of $25,000,000 aggregate principal amount of senior notes due 2027. The Company expects to grant the underwriters a 30-day option to purchase up to an additional $3,750,000 aggregate principal amount of senior notes in connection with the offering solely to cover overallotments. A copy of the press release is attached hereto as Exhibit 99.1.

 

In addition, in connection with the public offering, the Company will be making road show presentations to certain existing and potential securityholders of the Company. The road show materials are attached hereto as Exhibit 99.2.
