Item 8.01 Other Events
Reduced Base Management Fee
On May 19, 2017, Hancock Park Corporate Income, Inc., a Maryland corporation (the “Company”), accepted a letter from OFS Capital Management, LLC (the “Adviser”) and Evolv Capital Advisors LLC (the “Sub-Adviser”) pursuant to which the Adviser agreed to permanently reduce the Base Management Fee that it is entitled to receive under the Investment Advisory and Management Agreement dated as of July 15, 2016, by and between the Company and the Adviser from 2.0% per annum to 1.25% per annum (the “Reduced Fee”). The Sub-Adviser will continue to receive the amount of management fees allocated to it pursuant to the Investment Sub-Advisory Agreement dated as of July 15, 2016 by and among the Adviser, the Sub-Adviser and the Company, subject to the Reduced Fee.
