ADVANCED DISPOSAL SERVICES, INC. ANNOUNCES UNDERWRITERS’ EXERCISE OF OPTION TO PURCHASE ADDITIONAL SHARES IN CONNECTION WITH SECONDARY PUBLIC OFFERING
PONTE VEDRA, Fla. (May 19, 2017) — Advanced Disposal Services, Inc. (“Advanced Disposal”) announced today that UBS Investment Bank, Deutsche Bank Securities and Morgan Stanley, as representatives of the underwriters of Advanced Disposal’s secondary public offering of its common stock, have exercised in full the underwriters’ option to purchase an additional 2,325,000 shares of Advanced Disposal’s common stock from certain stockholders of Advanced Disposal (the “Selling Stockholders”) at the public offering price of $21.50 per share less the underwriting discounts and commissions. The closing of the sale of additional shares is expected to occur on May 23, 2017. Advanced Disposal is not selling any stock in this transaction and will not receive any proceeds from the sale of the shares by the Selling Stockholders.
UBS Investment Bank, Deutsche Bank Securities and Morgan Stanley acted as lead joint book-running managers and representatives of the underwriters for the offering. Macquarie Capital also acted as a lead joint book-running manager. BofA Merrill Lynch, Barclays, Credit Suisse, and Stifel acted as joint book-running managers, and First Analysis Securities Corporation acted as co-manager.
