Item 8.01 Other Events.

 

On May 18, 2017, Snap Interactive, Inc. issued a press release announcing the approval of a cash repurchase program for up to $1.0 million of its common stock and the entry into a stock repurchase plan agreement established in accordance with Rule 10b5-1 of the Securities Exchange Act of 1934, as amended. Repurchases will be made, if at all, pursuant to the terms of the plan. Because the repurchases under the plan will be subject to specified parameters and certain price and volume restraints as established in the plan, there is no guarantee as to the exact number of shares that will be repurchased, or that there will be any share repurchases at all.

 

A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
