Item 5.03              Amendment to Articles of Incorporation or Bylaws; Change in Fiscal Year
On May 16, 2017, Enterprise Bancorp, Inc. filed an Articles of Amendment to its Restated Articles of Organization with the Secretary of the Commonwealth of Massachusetts to effect the vote of the Company’s shareholders on May 2, 2017 to increase the number of authorized shares of common stock of the Company from 20,000,000 to 40,000,000. The Articles of Amendment, which were effective upon filing, are included as Exhibit 3.1 hereto and are incorporated herein by reference.
