Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(d) As previously reported in the Current Report on Form 8-K (the “Original 8-K”) filed by Forest City Realty Trust, Inc. (the “Company”) on April 24, 2017, the Company’s Board of Directors appointed Z. Jamie Behar as an independent “Class B” Director to fill a vacancy on the Board of Directors effective as of April 21, 2017. At the time of the filing of the Original 8-K, it had not yet been determined on what committees Ms. Behar would serve. This amendment to the Original 8-K is being filed to report that on May 17, 2017, the Company’s Board of Directors appointed Ms. Behar to the Audit Committee and the Corporate Governance and Nominating Committee of the Board of Directors effective immediately.
Except as expressly stated herein, this Form 8-K/A does not amend or update any other information contained in the Original Form 8-K.
