Item 5.02   Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers


On May 13, 2017, Aspen Group, Inc. (the “Company”) granted its executive officers a total of 500,000 five-year stock options to purchase shares of the Company’s common stock under the Company’s 2012 Equity Incentive Plan. The options vest annually over three years, subject to continued employment at each applicable vesting date, and are exercisable at $4.90 per share. Chairman and Chief Executive Officer Michael Mathews received 200,000 options, Chief Operating Officer Gerard Wendolowski received 200,000 options, Chief Academic Officer Dr. Cheri St. Arnauld received 70,000 options, and Chief Financial Officer Janet Gill received 30,000 options.
