ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

Effective May 12, 2017, David Wilkins resigned from his position as a director of Resolute Forest Product Inc.’s (the “Company’s”) Board of Directors (the “Board”), and as a member of each of the Board’s Human Resources and Compensation / Nominating and Governance Committee and Environmental, Health and Safety Committee. Mr. Wilkins had been nominated for re-election as a director at the Company’s Annual Meeting of Stockholders to be held on May 25, 2017. In connection with his resignation as a director of the Company, Mr. Wilkins has also confirmed that he will not stand for re-election. The Board does not currently expect to nominate a substitute nominee for election at the Annual Meeting.

Mr. Wilkin’s resignation was not the result of any disagreement with the Company, any matter related to the Company’s operations, policies or practices, the Company’s management or the Board. Mr. Wilkins is a partner at the law firm Nelson Mullins Riley & Scarborough LLP. He resigned from the Board upon that firm’s engagement by the Province of New Brunswick for government relations services in the United States, including the issue of softwood lumber exports to the United States, in order to ensure no future conflict or appearance of conflict of interest could exist between that engagement by his law firm and the Company’s interests.
