Item 5.02                                           Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On May 9, 2017, the Board of Directors of Neiman Marcus Group, Inc. (“Parent”), the sole member of Mariposa Intermediate Holdings LLC (“Holdings”), which in turn is the sole member of the registrant, Neiman Marcus Group LTD LLC (the “Company”), elected Graeme M. Eadie as a member of the Board of Directors of Parent (the “Parent Board”).  Mr. Eadie was also appointed to the Compensation Committee (the “Compensation Committee”) of the Parent Board.  Mr. Eadie is a Senior Managing Director and the Global Head of Real Estate Assets of CPP Investment Board.  Mr. Eadie replaced Shane D. Feeney, who has resigned as a director from Parent and as a member of the Compensation Committee effective as of May 9, 2017.  Mr. Feeney’s resignation was not the result of any disagreement with Parent, Holdings or the Company on any matter.
