Item 5.07                                           Submission of Matters to a Vote of Security Holders
 
Nature's Sunshine Products, Inc. (the "Company") held its 2017 Annual Meeting of Shareholders on May 9, 2017 (the "Meeting"). The proposals voted upon at the Meeting and the final results of the shareholder vote on each proposal are set forth below. Each of the proposals is described in greater detail in the Company’s definitive proxy statement on Schedule 14A filed with the Securities and Exchange Commission on March 24, 2017 (the "Proxy Statement").
 
(1)         Election of Directors. The Company’s shareholders elected all persons nominated for election as directors as set forth in the Proxy Statement to serve until the next Annual Meeting of Shareholders. The Company’s shareholders voted upon and ratified the appointment of Deloitte & Touche LLP as the Company’s independent registered public accountants for the year ending December 31, 2017. After considering the voting results set forth above, the Company’s board of directors determined at its meeting held on May 9, 2017, that the Company will continue to hold a shareholder advisory votes on the compensation of its named executive officers every year. The Company will again seek its shareholders’ recommendation as to the frequency of such votes at its 2023 Annual Meeting of Shareholders.
