Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On May 8, 2017, the Board of Directors of Piedmont Office Realty Trust, Inc. (the “Corporation”) approved and adopted an amendment to Article XIV of the Corporation’s Amended and Restated Bylaws (as amended, the “Amended Bylaws”). The Amended Bylaws provide the Corporation’s stockholders the concurrent power to amend the Corporation’s Bylaws if such amendment is approved by the affirmative vote of a majority of all the votes entitled to be cast on the matter.
