Item 8.01 – Other Events.

Owens Corning (the “Company”) announced earlier today that it has entered into a settlement agreement with TopBuild Corp. (“TopBuild”) in connection with a commercial breach of contract dispute from second quarter of 2016. The settlement with TopBuild will result in a payment to the Company of $30 million in cash and a dismissal of the lawsuit filed in connection with the dispute. A copy of today’s press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference
