EXPANATORY NOTE
On February 27, 2017, First Midwest Bancorp, Inc. ("First Midwest") filed a Current Report on Form 8-K (the "Original Filing") announcing that on February 22, 2017, the Board of Directors (the "Board") of First Midwest elected Thomas L. Brown and Stephen C. Van Arsdell as directors of First Midwest. At the time of the Original Filing, the Board had not made any determinations regarding the Board committee assignments for Messrs. Brown and Van Arsdell. This amendment to the Original Filing is being filed to include the information on committee assignments in Item 5.02, as described below. Other than providing the additional information in Item 5.02 below, no other disclosure in the Original Filing is amended by this amendment.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective May 1, 2017, the Board appointed Mr. Brown to the Audit Committee of the Board and Mr. Van Arsdell to the Audit Committee and the Nominating and Corporate Governance Committee of the Board. As previously disclosed, the Board intends to establish an Enterprise Risk Committee in May 2017, and to appoint Mr. Brown to that committee upon formation.
