Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)(e) On May 3, 2017, Huntington Ingalls Industries, Inc. (the “Company”) announced that Matthew J. Mulherin, Executive Vice President and President, Newport News Shipbuilding, will retire from his position effective July 1, 2017. In connection with Mr. Mulherin’s retirement, the Compensation Committee of the Company’s Board of Directors approved an amendment of the terms and conditions of Mr. Mulherin’s Restricted Performance Stock Rights (“RPSRs”) to provide for immediate vesting of the RPSRs at the time of his retirement from the Company, subject to continuation of the performance periods through the respective remaining terms of the performance periods (2017, 2018 and 2019), as set forth in the terms and conditions of the RPSRs. Mr. Mulherin will remain with the Company in a non-executive officer position to assist with transition until his retirement from the Company effective August 1, 2017. The foregoing description of the amendment of the terms and conditions of Mr. Mulherin’s RPSRs is qualified by reference to the full text of the Amendment, which is filed as an exhibit to this Form 8-K and incorporated by reference.
