Item. 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 25, 2017, MetLife, Inc.’s Board of Directors approved an annual base salary rate increase of $50,000 for William O’Donnell, effective June 1, 2017. Mr. O’Donnell’s new annual base salary rate will be $350,000. The Board approved the increase in connection with Mr. O’Donnell becoming MetLife, Inc.’s Executive Vice President and Chief Accounting Officer on the same effective date.

MetLife, Inc. disclosed its Board’s appointment of Mr. O’Donnell as Executive Vice President and Chief Accounting Officer on April 13, 2017 on a Current Report on Form 8-K filed on April 17, 2017 (the “Original Report”). This Current Report on Form 8-K/A amends the Original Report solely for the purpose of disclosing the information above.
