Item 7.01 Regulation FD Disclosure.
On May 1, 2017, Energizer Holdings, Inc. (the "Company") announced that its Board of Directors declared a quarterly dividend of $0.275 per share on its Common Stock, payable on June 14, 2017 to all shareholders of record as of the close of business on May 22, 2017. A copy of the press release announcing the dividend declaration is attached hereto as Exhibit 99.1 and incorporated by reference herein.
