Item 2.02    Results of Operation and Financial Condition.
On April 28, 2017, Provident Financial Services, Inc. (the “Company”) issued a press release reporting its financial results for the three months ended March 31, 2017. A copy of the press release is attached as Exhibit 99.1 to this report and is being furnished to the SEC and shall not be deemed “filed” for any purpose.

The 2017 Annual Meeting of Stockholders was held on April 27, 2017 (the “Annual Meeting”). A total of 60,468,045 shares were present or represented by proxy at the Annual Meeting. The matters considered and voted on by the Company’s stockholders at the Annual Meeting and the vote of the stockholders were as follows:

On April 28, 2017, the Company announced that its Board of Directors declared a quarterly cash dividend of $0.19 per common share, payable on May 31, 2017 to stockholders of record on May 15, 2017.
This announcement was included as part of the press release announcing financial results for the three months ended March 31, 2017 and attached as Exhibit 99.1 to this report. A copy of the press release is being furnished to the SEC and shall not be deemed “filed” for any purpose.
