Item 2.02           Results of Operations and Financial Condition

On April 25, 2017, BCB Bancorp, Inc. (the “Company”) issued a press release reporting its financial results at and for the three months ended March 31, 2017.

A copy of the press release is attached as Exhibit 99.1 to this report and is being furnished to the Securities and Exchange Commission and shall not be deemed filed for any purpose.

Item 8.01              Other Events

On April 27, 2017, the Board of Directors of the Company declared a quarterly cash dividend on the Company’s outstanding shares of common stock of $0.14 per share.  The dividend will be payable to stockholders of record as of May 8, 2017 and is expected to be paid on May 22, 2017. A copy of the press release is attached as Exhibit 99.2 to this report.
