Item 3.02. Unregistered Sales of Equity Securities.

 

On April 14, 2017, the Registrant sold approximately 5.637 Series C Cumulative Preferred Units (the “Preferred Units”) for the total price of $563,756.30 to William Myrick, one of the Registrant’s independent managers, through his individual retirement account (such transaction, the “Preferred Units Sale Transaction”). The Preferred Units Sale Transaction was effected in a private transaction exempt from the registration requirements of the Securities Act of 1933 (the “Securities Act”) under Section 4(a)(2) of the Securities Act. The Preferred Units Sale Transaction did not involve any public offering, was made without general solicitation or advertising, and the buyer represented to the Registrant that it is an “accredited investor” as defined under the Securities Act, with access to all relevant information necessary to evaluate the investment in the Preferred Units.
