The aggregate market value of the registrant’s stock held by non-affiliates of the registrant as of June 30, 2016, computed by reference to the price at which such stock was last sold on the OTC Bulletin Board ($0.23) on that date, was approximately $6,908,360. For purposes of this computation, all officers, directors and 10% beneficial owners of the registrant are deemed to be affiliates. EXPLANATORY NOTE

 

This Amendment No. 1 on Form 10-K/A amends our Annual Report on Form 10-K for the fiscal year ended December 31, 2016, which was filed with the SEC on March 30, 2017 (the “Original Filing”).  We are filing this Amendment solely for the limited purpose of amending Report of Independent Registered Public Accounting Firm to add the date that was inadvertently omitted.

 

Except as contained herein, this Amendment speaks as of the filing date of the Original Filing and does not modify or update disclosures contained in the Original Filing.  Accordingly, this Amendment should be read in conjunction with the Original Filing.

In our opinion, the consolidated financial statements referred to above present fairly, in all material respects, the financial position of the Company, as of December 31, 2016 and 2015, and the results of its operations and its cash flows for the years then ended, in conformity with accounting principles generally accepted in the United States of America.
