Item 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 30, 2017, William R. Rohn, the Chairman of the Board of Directors (“Board”) of Pfenex Inc. (the “Company”) notified the Company that he will not stand for reelection as a Board member and will retire as Chairman of the Board and as a Director at the end of his term, effective as of the 2017 Annual Meeting of Stockholders scheduled for May 5, 2017. Mr. Rohn will continue to serve as Chairman of the Board and as a director until his retirement. Mr. Rohn’s retirement was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
