Item 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(e)  Upon review of the performance of the Chief Executive Officer, Lee D. Thibert, the Chugach Electric Association, Inc. (Chugach) Board of Directors, at a board meeting on March 22, 2017, announced that Mr. Thibert will receive a merit increase of 3% to his base salary and a bonus equivalent to 18% of his base salary, or $57,600 before taxes. Mr. Thibert’s merit increase and bonus were consistent the terms of his employment agreement as previously filed with Chugach’s Form 10-Q for the period ended March 31, 2016.
