Item 8.01
Other Events.
 
On March 10, 2017, Fortress Transportation and Infrastructure Investors LLC (the “Company”) announced the pricing of its previously announced private offering of $250 million aggregate principal amount of senior unsecured notes due 2022 (the “Notes”). The Notes will have an interest rate of 6.75% per annum and will be issued at a price equal to 97.0% of their face value.  The Company intends to use the net proceeds from the offering to fully repay all outstanding indebtedness under the Company’s credit agreement in the amount of $100.0 million and to pay related fees and expenses and for general corporate purposes, including the funding of future investments.

The Notes will be offered in the United States to qualified institutional buyers under Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to persons outside of the United States under Regulation S under the Securities Act.  The Notes will not be registered under the Securities Act or any state securities laws, and, unless so registered, may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
