Item 2.02. Results of Operations and Financial Condition.
On March 7, 2017, ABM Industries Incorporated (the “Company”) issued a press release announcing financial results related to the first quarter of fiscal year 2017. A copy of the press release is attached as Exhibit 99.1, which is incorporated into this item by reference.
Item 7.01. Regulation FD
As disclosed in the press release attached as Exhibit 99.1, the Company will hold a live web cast on March 8, 2017 relating to the Company’s financial results for the first quarter of fiscal year 2017. A copy of the slides to be presented at the Company’s web cast and discussed in the conference call relating to such financial results is being furnished as Exhibit 99.2 to this Form 8-K.
Item 8.01. Other Events.
On March 7, 2017, the Company announced that the Board of Directors of the Company declared a quarterly dividend of $0.17 per share, payable on May 1, 2017 to stockholders of record on April 6, 2017. A copy of the press release announcing the declaration of the dividend is attached as Exhibit 99.1, which is incorporated into this item by reference.
