Item 5.02    Departure of Certain Officer

On February 28, 2017, Michelle Murcia, Chief Financial Officer of Q2Power Technologies, Inc. (the “Company”), resigned from her position with the Company to pursue other opportunities.  Ms. Murcia has served as CFO of the Company since December 2014, a position she held on a part-time basis.
