Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.
 

 
On February 28, 2017, the Board of Directors of UCP, Inc. (the “Company”) adopted an amended and restated Code of Business Conduct and Ethics (the “Amended Code”), as part of an annual review.  In addition to various non-substantive changes, the Amended Code clarifies the Company’s policy relating to the receipt of gifts and entertainment that could influence, or be perceived to influence, business decisions on behalf of the Company.  Prior to the amendment, employees of the Company were strictly prohibited from accepting any cash or cash equivalents, including gift cards, and were mandated to promptly return any such gift to the donor. Without limiting any other gift prohibitions, the Amended Code eliminates this strict prohibition and permits employees to receive gift certificates or gift cards, so long as not in excess of $100 from any single individual or entity doing business with the Company during any calendar year.  In addition, the Company included a record retention policy, which outlines the reasons for a retention policy, the types of documents covered and compliance.
