Item 5.02.                                        Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 21, 2017, Robert Stebenne informed the Board of Directors of Summer Infant, Inc. (the “Company”) of his decision not to stand for re-election as a director at the Company’s 2017 annual meeting of stockholders.  Mr. Stebenne’s current term will expire in conjunction with the 2017 annual meeting.  Mr. Stebenne’s decision not to stand for re-election was not the result of any disagreement with the Company.
