ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.
On February 20, 2017, the Company announced that Heather Passe’s employment as Senior Vice President, Marketing will terminate on February 28, 2017, under circumstances that entitle her to severance benefits under her executive employment agreement. She will also receive a cash payment equal to the value of her performance-based restricted stock units (PSUs) which are earned but not yet vested, valued at the Company’s closing stock price on February 28, 2017.
