(“IHS Markit”) is a foreign private issuer that prepares its proxy statement in accordance with Bermuda law requirements, although it files periodic and current reports on U.S. domestic issuer forms. Its proxy statement, dated February 21, 2017 is being furnished on this report on Form 8-K to which the proxy statement is an exhibit.
