On February 14, 2017, GCOP LLC, a limited liability company owned by entities affiliated with Lawrence E. Golub and David B. Golub, sold 955,895.779 shares of Golub Capital BDC, Inc. to Golub Capital Employee Grant Program Rabbi Trust for the purpose of awarding incentive compensation to employees of Golub Capital LLC and its affiliates. The sale of shares in connection with this transaction was reported on Form 4s filed with the Securities and Exchange Commission on February 15, 2017.
