Results of Operations and Financial Condition.

The following information is intended to be furnished under Item 2.02 of Form 8-K, “Results of Operations and Financial Condition.” This information shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.

On February 13, 2017, GigPeak, Inc. (the “Company”) posted to its corporate website a slide presentation (the “Corporate Presentation”) including information pertaining to its financial results for the three months and twelve months ended December 31, 2016. The full Corporate Presentation is furnished as Exhibit 99.1 and is incorporated herein by reference.

Item 8.01.
Other Events.

As previously disclosed in the Current Report on Form 8-K filed on February 13, 2017 by GigPeak, Inc. (the “Company”), on February 13, 2017, the Company, Integrated Device Technology, Inc., a Delaware corporation (“Parent”), and Parent’s newly formed, wholly owned subsidiary, Glider Merger Sub, Inc., a Delaware corporation (the “Purchaser”), entered into an Agreement and Plan of Merger (the “Merger Agreement”), pursuant to which the Purchaser will commence a cash tender offer (the “Offer”) to purchase all of the outstanding shares of common stock of the Company. Following the consummation of the Offer, the Purchaser will merge with and into the Company (the “Merger”), with the Company surviving the Merger as a wholly owned subsidiary of Parent, subject to the terms and conditions set forth in the Merger Agreement.

On February 13, 2017, Parent made available to the employees of the Company, in connection with the announcement of the execution of the Merger Agreement, a slide presentation (the “Employee Presentation”). A copy of the Employee Presentation is filed as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated herein by reference.
