Item 8.01 Other Events.

 

On January 31, 2017, Western Refining, Inc., a Delaware corporation (the “Company”) established a record date of February 10, 2017, for a special meeting, at which Company stockholders will vote on, among other things, a proposal to adopt the previously announced Agreement and Plan of Merger, dated as of November 16, 2016, among Tesoro Corporation, a Delaware corporation (“Tesoro”), Tahoe Merger Sub 1, Inc., a Delaware corporation and wholly owned subsidiary of Tesoro, Tahoe Merger Sub 2, LLC, a Delaware limited liability company and wholly owned subsidiary of Tesoro, and the Company. Company stockholders of record at the close of business on February 10, 2017, will be entitled to receive notice of the special meeting and to vote at the special meeting. The date and time of the special meeting have not yet been determined.
