As previously announced, during the fourth quarter of 2016 Dana Incorporated (“Dana”) entered into a definitive agreement to purchase the power-transmission and fluid power businesses of Brevini Group, S.p.A. Dana’s acquisition of these businesses closed on February 1, 2017.
A copy of Dana’s press release related to the closing is being furnished as Exhibit 99.1 to this report.
