On February 1, 2017, Real Goods Solar. Inc. (the “Company”) issued a press release announcing that it has priced a public offering of (A) units, each consisting of one share of Class A common stock, par value $0.0001 (Common Stock) and a Series K Warrant to purchase Common Stock, and (B) units, each consisting of one prepaid Series L Warrant to purchase one share of Common Stock and a Series K Warrant to purchase Common Stock. A copy of the press release is attached to this Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
This Current Report on Form 8-K and the press release attached hereto are being furnished by the Company pursuant to Item 7.01.
