Item 2.02. Results of Operations and Financial Condition.

     On January 25, 2017, Cortland Bancorp issued a news release reviewing the Company’s financial results for the quarter and year ended December 31, 2016. A copy of this news release is included as Exhibit 99.1 and incorporated herein by reference.

Item 7.01. Regulation FD Disclosure.

At a meeting on January 24, 2017 the Board of Directors of Cortland Bancorp (the “Company”) adopted a new stock repurchase program (“program”).  Under the program, the Company is authorized to repurchase up to 100,000 of its 4,420,255 issued and outstanding shares, equating to approximately 2.3%.  The program is effective through December 31, 2017, but may be limited or terminated at any time without prior notice.

Under the program, the Company may acquire shares of its common stock in the open market or in any private transaction from time to time and in accordance with applicable laws, rules and regulations.

Item 8.01. Other Events.

     In a press release issued on January 25, 2017, President James M. Gasior announced that the Board of Directors of Cortland Bancorp (the “Company”) has declared a dividend of $0.08.   The dividend is payable on or after March 1, 2017 to shareholders of record as of February 10, 2017.   In addition, a special year-end dividend of $.07 per share was declared, also payable on March 1, 2017 to shareholders of record as of February 10, 2017.  The press release is included as Exhibit 99.2 to this current report on Form 8K.
