Item 8.01. Other Events.

On January 24, 2017, Intrexon Corporation (“Intrexon”) issued a press release announcing that it had entered into an Agreement and Plan of Merger (the “Merger Agreement”), by and among Intrexon, Intrexon GV Holding, Inc., a wholly owned subsidiary of Intrexon, and GenVec, Inc. (the “GenVec”). A copy of the press release is attached hereto as Exhibit 99.1 and incorporated into this Item 8.01 by reference.
