Item 1.01. Entry into a Material Definitive Agreement.
Loan and Security Agreement.
Vericel Corporation (the “Company”), a Michigan corporation, is filing this amendment to the Current Report on Form 8-K filed by the Company on September 14, 2016 to provide additional financial information related to the financial covenants set forth in the Loan and Security Agreement dated September 9, 2016 between Vericel Corporation, as borrower, and Silicon Valley Bank, in its capacity as Administrative Agent, and Silicon Valley Bank, MidCap Financial Trust, MidCap Funding III Trust and other lenders listed therein as lenders. A copy of the Loan and Security Agreement that sets forth such financial covenants is attached to this Form 8-K/A as Exhibit 10.1.
