Other Events.

On December 27, 2016, General Cannabis Corp (the “Company”) issued a press release announcing the effectiveness of its resale registration statement on Form S-1 relating to the sale of up to 9,000,000 shares of the Company’s common stock that may be issued to certain warrant holders upon the exercise of such warrants.
