Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 16, 2016, Greg Landis resigned as a member of the Board of Directors and as Secretary and Treasurer of the Ecoark Holdings, Inc. (the “Company”). Mr. Landis advised the Company that his resignation was in order to return to his CPA practice and not in connection with any disagreement with the Company on any matter relating to its operations, policies or practices.
The Company has furnished Mr. Landis a copy of the disclosures made in this Form 8-K prior to its filing and provided Mr. Landis with an opportunity to furnish the Company with any comments or concerns.
The Company’s board of directors will begin a search to seek a replacement for Mr. Landis.
