Item 7.01. Regulation FD Disclosure.

Pebblebrook Hotel Trust (the “Company”) issued a press release on December 20, 2016 announcing that it has closed on the sale of the 618-room Manhattan NYC (the “Manhattan NYC”). A copy of that press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.

Item 8.01. Other Events.

On December 20, 2016, subsidiaries of the Company completed the sale of the Manhattan NYC for $217.5 million. Net proceeds from the sale of the hotel property will be used for general corporate purposes, which may include reducing the Company's outstanding debt or repurchasing the Company's common shares.
