Item 5.03. Amendments to Articles of Incorporation or By-Laws; Change in Fiscal Year.
On December 16, 2016, the Board of Directors of Franklin Electric Co., Inc. (the “Company”) approved a change in the Company’s fiscal year from a 52-53 week year ending on the Saturday nearest to December 31 to a calendar year ending December 31, effective beginning with fiscal year 2017. Article X of the Company’s bylaws were amended to read as follows: “The fiscal year of the Corporation shall begin on January 1 and end on December 31 of each year.” No other amendments to the bylaws were made.
Since this change is not deemed a change in fiscal year for purposes of reporting subject to Rule 13a-10 or Rule 15d-10 of the Securities Exchange Act of 1934, as amended, as the new fiscal year commences within seven days of the prior fiscal year and the new fiscal year commences with the end of the prior fiscal year, the Company will not be required to file a transition report.
