Item 8.01.             Other Events.

On December 15, 2016, Intrepid Potash, Inc. (“Intrepid”) announced that it has engaged Cantor Fitzgerald & Co. to assist in assessing and evaluating and, if determined appropriate by Intrepid, pursuing potential strategic alternative transactions, as required under the Amended and Restated Note Purchase Agreement, dated as of October 31, 2016, and amended as of November 9, 2016, by and among Intrepid and the purchasers named therein.  On December 15, 2016, Intrepid issued a press release announcing the same.  A copy of this press release is included as Exhibit 99.1 to this report.
